1. Introduction and Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between Talentiq Studio LTD, a company incorporated in England and Wales with registration number 16635961 and registered office at 65 London Wall, London, EC2M 5TU, England ("Talentiq Studio," "Company," "we," "us," or "our"), and any individual or entity ("User," "you," or "your") accessing or using the website https://talentiq.studio (the "Website") and all related services (collectively, the "Services").

By accessing or using the Website or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with these Terms, you must immediately discontinue use of the Services.

3. Definitions

Term	Definition
"Account"	A registered user profile created to access certain features of the Services
"Creator"	A User who uploads or distributes digital content through the Platform
"Content"	Any digital material including videos, audio, live streams, images, text, graphics, and other media
"End User" / "Viewer"	Any individual who accesses or views Content
"Platform"	The Website and all associated services provided by Talentiq Studio
"User"	Collectively refers to Creators and Viewers
"Applicable Law"	All relevant statutes, regulations, and legal requirements in England and Wales and any other relevant jurisdiction
"Platform Commission"	The service fee charged by Talentiq Studio on each successful transaction processed through the Platform, as set out in clause 7.6.

4. Eligibility and Age Requirements

Minimum Age — You must be at least 18 years of age to create an Account or use the Services
Legal Capacity — By using the Services, you represent and warrant that you have the legal capacity to enter into a binding agreement
Compliance — You agree to comply with all Applicable Laws when using the Platform

5. Description of Services

Talentiq Studio provides a digital platform that enables Creators to upload, manage, distribute, and monetize digital content, including pre-recorded and live-streamed media. The Platform facilitates secure payment processing for access to certain Content. The Platform does not operate on a subscription-based model unless expressly stated.

Talentiq Studio acts solely as an intermediary technology provider and is not the producer or owner of Creator Content.

6. User Accounts

6.1 Registration

To access certain features, Users must create an Account and provide accurate, current, and complete information. You agree to keep your information updated at all times.

6.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your Account. You must notify us immediately at support@talentiq.studio of any unauthorized access or security breach.

6.3 Account Verification (KYC)

To comply with legal and card network requirements, Talentiq Studio reserves the right to conduct identity verification, including Know Your Customer (KYC) and anti-money laundering (AML) checks. Failure to complete verification may result in suspension or termination of the Account.

6.4 Suspension and Termination

We reserve the right to suspend or terminate any Account at our sole discretion if a User violates these Terms or engages in fraudulent, unlawful, or harmful activities.

7. Payments, Fees, and Card Scheme Compliance

7.1 Payment Processing

All payments are processed through secure third-party payment processors that comply with PCI-DSS standards. Talentiq Studio does not store full payment card information.

7.2 Pricing and Taxes

All prices displayed on the Platform are inclusive or exclusive of Value Added Tax (VAT) or other applicable taxes as indicated. Users are responsible for any taxes applicable to their transactions.

7.3 Chargebacks and Dispute Resolution

Users agree to contact support@talentiq.studio before initiating any chargeback or payment dispute. Talentiq Studio reserves the right to suspend Accounts associated with excessive or fraudulent chargebacks and to recover associated costs.

7.4 Fraud Prevention

We implement robust fraud detection and prevention mechanisms, including transaction monitoring and identity verification, in accordance with card network rules and Applicable Laws.

7.5 Payouts to Creators

Creators may be eligible to receive payouts for monetized Content, subject to:

Completion of KYC/AML verification
Compliance with these Terms
Minimum payout thresholds
Applicable processing fees and taxes

7.6 Platform Commission

Talentiq Studio charges a service fee equal to ten percent (10%) of the gross amount of each successful transaction received by a Creator through the Platform (the "Platform Commission").

The Platform Commission is automatically deducted from the gross transaction amount before payout, and the remaining net amount is transferred to the Creator. By accepting these Terms, the Creator irrevocably authorises Talentiq Studio to withhold the Platform Commission from each payout.

Talentiq Studio may revise the Platform Commission by giving Creators at least 30 days' prior notice through the Website or Creator dashboard. Continued use of the Services after the effective date constitutes acceptance of the revised Commission.

8. Creator Obligations and Content Standards

8.1 Ownership and Rights

Creators represent and warrant that they own or have obtained all necessary rights, licenses, consents, and permissions to upload and distribute their Content.

8.2 Prohibited Content

Users are strictly prohibited from uploading or distributing Content that:

Violates any Applicable Law
Infringes intellectual property or privacy rights
Is defamatory, fraudulent, or misleading
Contains malware or harmful code
Promotes violence, hate speech, or discrimination
Is obscene or otherwise unlawful

8.3 Compliance with Card Network Rules

Creators must ensure that their Content complies with Visa and MasterCard regulations, including restrictions on illegal or prohibited goods and services.

8.4 Content Removal

Talentiq Studio reserves the right to review, restrict, demonetize, or remove any Content that violates these Terms or Applicable Laws without prior notice.

9. Intellectual Property Rights

9.1 Platform Intellectual Property

All intellectual property rights in the Platform, including trademarks, logos, software, and design elements, are owned by or licensed to Talentiq Studio and are protected by applicable laws.

9.2 Creator License to Talentiq Studio

Creators grant Talentiq Studio a worldwide, non-exclusive, royalty-free, sublicensable license to host, reproduce, distribute, publicly display, perform, and stream their Content for the purpose of operating and promoting the Services.

9.3 User Restrictions

Users may not copy, modify, distribute, reverse engineer, or create derivative works from any part of the Platform without prior written consent.

10. Content Monitoring and Enforcement

Talentiq Studio reserves the right, but not the obligation, to monitor user activity and Content to ensure compliance with these Terms, Applicable Laws, and card scheme requirements. We may cooperate with law enforcement and regulatory authorities where necessary.

11. Refund and Cancellation Policy

All purchases are subject to our Refund Policy, which forms an integral part of these Terms. Unless otherwise stated, purchases of digital content are generally non-refundable once access has been granted, except where required by Applicable Law.

12. Privacy and Data Protection

Your use of the Services is subject to our Privacy Policy and Cookie Policy, which describe how we collect, process, and protect personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

13. Third-Party Services

The Platform may contain links to third-party websites or services. Talentiq Studio does not control and is not responsible for the content, policies, or practices of such third parties. Your interactions with third parties are solely between you and the respective third party.

14. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided on an "as is" and "as available" basis. Talentiq Studio disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Talentiq Studio does not warrant that:

The Services will be uninterrupted or error-free.
The Services will be secure or free from viruses or harmful components.
The content or results obtained will be accurate, complete, or reliable.
The Services will meet users’ specific requirements or expectations.
The Services will be compatible with all devices, systems, or browsers.
The Services will be available at all times or in all locations.

15. Limitation of Liability

To the maximum extent permitted by Applicable Law, Talentiq Studio shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or goodwill.

Nothing in these Terms shall exclude or limit liability for:

Death or personal injury caused by negligence
Fraud or fraudulent misrepresentation
Any liability that cannot be excluded under the laws of England and Wales

16. Indemnification

You agree to indemnify, defend, and hold harmless Talentiq Studio, its directors, officers, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, or expenses arising out of or related to:

Your use of the Services
Your Content
Your violation of these Terms or Applicable Laws
Infringement of any third-party rights

17. Termination

Talentiq Studio reserves the right to suspend or terminate your access to the Services at any time and without prior notice if you breach these Terms or engage in unlawful or harmful conduct. Upon termination, all rights granted to you under these Terms will immediately cease.

18. Force Majeure

Talentiq Studio shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, acts of government, cyberattacks, labor disputes, or failures of telecommunications or internet services.

19. Governing Law and Jurisdiction

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any such disputes.

20. Changes to These Terms

We reserve the right to amend or update these Terms at any time. Any changes will be effective upon posting on the Website, and the "Last Updated" date will be revised accordingly. Continued use of the Services constitutes acceptance of the updated Terms.

21. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

22. Waiver

Failure by Talentiq Studio to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver of a provision shall be effective only if made in writing and signed by an authorized representative of Talentiq Studio.

23. Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent from Talentiq Studio. We may assign our rights and obligations without restriction. These Terms bind and benefit the parties and their permitted assigns.

24. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Refund Policy, Content Monitoring Policy, and any other legal notices published on the Platform, constitute the entire agreement between you and Talentiq Studio regarding the use of the Services.
